1. Acceptance of Terms

By engaging the services of Bytearray Technology Solutions Pvt Ltd ("Company"), the Client agrees to be bound by these Terms & Conditions.

2. Scope of Services

The Company provides custom SaaS application design, development, deployment, and related consulting services.

Services shall be delivered strictly as per the approved proposal, quotation, or agreement.

Any additional features, integrations, or modifications beyond the agreed scope shall be chargeable.

3. Payment Terms

50% advance payment before project initiation.
50% before final deployment or handover.

All payments are non-refundable once work has commenced.

GST and other applicable taxes shall be charged extra.

Failure to make timely payments may result in suspension of services.

4. Project Timeline

Project timelines commence only after:

Receipt of advance payment
Final confirmation of scope
Submission of complete requirements and content

Delays caused by the Client (including approvals, content, feedback, or payments) will extend delivery timelines accordingly.

5. Intellectual Property & Ownership

5.1 Client Ownership

Upon full and final payment:

The Client shall own the custom-developed SaaS application as defined in the agreement.

5.2 Company Retained Rights

The Company retains ownership of:

Pre-existing tools and frameworks
Reusable code libraries
Generic modules
Development methodologies
Know-how and technical processes

Unless explicitly agreed in writing, source code transfer is not included.

6. Hosting & Infrastructure

Unless specifically included in the proposal:

Hosting
Cloud servers (AWS, Azure, etc.)
Domain registration
SSL certificates
Third-party APIs
SMS/Email gateway services
Payment gateway integrations

shall be the responsibility of the Client.

7. Third-Party Services

The Company shall not be liable for performance issues, downtime, pricing changes, or failures related to third-party services or platforms.

8. Testing & Acceptance

The Client must review deliverables within 7 days of submission.

If no written feedback is received within this period, the deliverable shall be deemed approved.

9. Maintenance & Support

Complimentary support (if included) is limited to bug fixes only.
Feature enhancements, UI changes, integrations, or regulatory updates are chargeable.
Ongoing maintenance requires a separate AMC agreement.

10. Data Protection & Confidentiality

The Company shall implement reasonable industry-standard security practices in compliance with applicable Indian laws, including the Digital Personal Data Protection Act, 2023.

However, the Company does not guarantee absolute protection against:

Cyber-attacks
Unauthorized access
Data breaches

The Client is responsible for:

User access control
Password management
Regulatory compliance related to end users

Both parties agree to maintain confidentiality of proprietary information.

11. Limitation of Liability

To the maximum extent permitted under Indian law:

The Company shall not be liable for indirect, incidental, or consequential damages.
The Company shall not be liable for loss of profits, business interruption, or data loss.
Total liability shall not exceed the total fees paid by the Client in the six (6) months preceding the claim.

12. Service Suspension

The Company reserves the right to suspend services in case of:

Non-payment
Violation of terms
Illegal or unethical use of the software
Security risks

13. Termination

Either party may terminate the agreement with written notice.

Payments made are non-refundable.
Outstanding dues must be cleared before handover.
Data export (if applicable) must be requested within 30 days of termination.

14. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, or technical failures.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in Surajpur, Dadri, UP, India.
